1) Introduction
These Terms & Conditions (“Terms,” “Agreement”) govern your access to and use of the Website, services, products, and software solutions provided by Codewebster LLP, hereafter referred to as “CodeWebster.” By using our Website or engaging with our Services, you agree to be bound by these Terms.
These Terms apply globally to all individuals, businesses, organizations, and enterprises engaging with CodeWebster, regardless of jurisdiction.
2) Definitions
- Client: Any individual, business, or organization purchasing Services from CodeWebster.
- User: Any visitor to our Website.
- Deliverables: Final products, code, designs, templates, or solutions provided by CodeWebster.
- SaaS Services: Subscription-based support, maintenance, and software usage.
- Confidential Information: Any non-public data, trade secrets, or information exchanged.

CodeWebster also provides templates, source code, and digital frameworks for purchase or licensing. Services are offered globally with emphasis on USA, Canada, UK, UAE, and Australia.
4) Eligibility
- You must be at least 18 years old or a registered business entity.
- You represent that you have the legal authority to bind your organization to these Terms.
- CodeWebster may decline service if requirements conflict with law, ethics, or internal policy.
5) Client Responsibilities
- Provide accurate project requirements, data, and communication.
- Pay invoices on time.
- Avoid misuse of CodeWebster’s intellectual property.
- Ensure compliance with local laws when using deliverables.
- Not engage in fraudulent, abusive, or unlawful conduct involving CodeWebster.
6) Account Access & Website Use
No public accounts are created on our Website; however, clients may be granted secure project portals. You must not:
- Attempt to breach website security.
- Copy or scrape website content.
- Misrepresent affiliation with CodeWebster.
7) Payments & Pricing
- Currency: INR or USD (or as agreed).
- Methods: Wire transfer, PayPal, Stripe, Razorpay, or approved gateways.
- Invoices: Due within 7–14 days unless otherwise stated.
- Taxes: Clients are responsible for applicable taxes, duties, levies.
- Non-Refundable: Payments are final and non-refundable.
8) Subscriptions & Renewals
- Subscriptions cover app support, SaaS services, and maintenance.
- Automatic renewal may apply unless cancelled prior to billing.
- Non-payment may result in suspension.
9) Refund Policy
Strictly No Refunds: Payments are non-refundable except if explicitly agreed in writing and signed by both parties. Disputes handled exclusively in Mohali, Punjab, India.
10) Intellectual Property
- All Website content is property of Codewebster LLP.
- Deliverables are transferred to Client ownership only upon full payment.
- Unauthorized usage, resale, or redistribution will result in legal action.
- Trademarks “CodeWebster” and “Codewebster LLP” are protected.
11) Confidentiality
Both parties agree to maintain confidentiality unless disclosure is required by law.
12) Data Protection
CodeWebster collects only non-personal analytics data (visits, clicks, engagement). Personal information provided voluntarily is used only for communication. Compliance: GDPR, CCPA, Indian IT Act.
13) Use of Third-Party Services
CodeWebster relies on AWS, Google APIs, SEMrush, Firebase, etc. We are not responsible for their downtime or changes.
14) Warranties Disclaimer
All services are provided “as is.” No implied warranties of merchantability, fitness, or error-free performance. Clients acknowledge that software may contain bugs or need updates.
15) Limitation of Liability
Liability capped at the amount paid for the disputed service. We are not liable for lost profits, downtime, or indirect damages.
16) Indemnification
Clients agree to indemnify CodeWebster against claims, damages, or legal actions arising from misuse or breach of law.
17) Termination of Services
- Overdue payments
- Breach of terms or law
- Unlawful activity
Termination does not relieve Client of payment obligations.
18) Governing Law & Jurisdiction
Governed by laws of India. Exclusive jurisdiction: courts of Mohali, Punjab, India.
19) Dispute Resolution
Good-faith mediation required before litigation. If unresolved, disputes settled in Mohali courts only.
20) Export Controls & Sanctions
Clients agree not to use CodeWebster services in violation of international export laws, sanctions, or embargoes.
21) Compliance with Laws
Clients are responsible for compliance with local regulations. CodeWebster disclaims liability for misuse in restricted jurisdictions.
22) Non-Solicitation
Clients may not solicit or hire CodeWebster employees for 12 months post-engagement.
23) Force Majeure
We are not liable for delays caused by natural disasters, wars, pandemics, cyberattacks, outages, strikes, or government restrictions.
24) Severability
If any provision is invalid, the remainder remains enforceable.
25) Waiver
Failure to enforce a right does not waive the right to enforce later.
26) Assignment
CodeWebster may assign or subcontract obligations. Clients may not assign without prior consent.
27) Entire Agreement
These Terms plus any signed proposal, SOW, or MSA form the full agreement.
28) Updates to Terms
CodeWebster may update Terms anytime. Updated versions posted with new effective date. Continued use indicates acceptance.
